Constitution and By-Laws




Part I as set forth by the National Weather Association


ARTICLE I: NAME

This local chapter shall be known as the Central Oklahoma Chapter of the National Weather Association.

ARTICLE II: OBJECTIVES

Primary objectives of the organization shall be to foster the growth of operational meteorology, through research, forecasting, broadcasting, and education.

ARTICLE III: MEMBERSHIP

  1. Membership is open to anyone interested in operational meteorology and who agrees to abide by the requirements of this constitution.
  2. Officers shall consist of President, Vice-President, Secretary-Treasurer, and Corresponding Secretary.
  3. All officers must be full members (regular or student) of the National Weather Association.
  4. All officers shall be elected at the first official meeting of the chapter and at the last meeting of the year thereafter. All officers shall hold their position for one year and may be re-elected.
  5. Any vacated office shall be filled by action of the Executive Committee in accordance with the local chapter constitution.
  6. The President shall report directly to the Executive Director, National Weather Association.

ARTICLE IV: COMMITTEES

  1. The following committees are required: Program, Membership, and Publicity. The chairpersons of these committees will consist of the Vice-President (Program Committee), Secretary-Treasurer (Membership Committee), and Corresponding Secretary (Publicity Committee). Additional members of the committees shall be appointed in accordance with the local chapter's constitution.
  2. The Publicity Committee will file (through the President) a brief synopsis of the past year's activities to the Executive Director, National Weather Association. This synopsis shall consist of, but is not limited to, number of members, number of new members, programs at each meeting, financial statement, and outlook for the future.
  3. The Executive Committee consists of the immediate past President and the current officers.

ARTICLE V: DUES

No national dues are required of chapter members. The National Weather Association does strongly recommend that all local members become full members of said organization.

ARTICLE VI: MEETINGS

Chapters shall have a minimum of six meetings each year.

ARTICLE VII: VOTING PROCEDURES

  1. All active members of the local chapter may participate in voting.
  2. Voting for officers of the local chapter shall be in accordance with the local chapter constitution.

ARTICLE VIII: PARLIAMENTARY AUTHORITY

The rules contained in "Robert's Rules of Order, Revised Edition" shall govern in all cases to which they are applicable, and in which they are not inconsistent with the constitution.

ARTICLE IX: NONPROFIT ORGANIZATION

This local chapter of the National Weather Association will organize and operate exclusively as a nonprofit entity, and no portion of its net earnings shall inure to the benefit of, or be distributed to, its members, officers, or other private persons, except that the Chapter may pay reasonable compensation for services rendered in furtherance of its stated purposes. No significant part of the activities of the Chapter shall be the carrying on of propaganda or otherwise attempting to influence legislation; and the Chapter shall not participate or intervene in any political campaign on behalf of any candidate for public office. Notwithstanding any provision of these articles, the Chapter shall not carry on any other activity not permitted to be carried on (a) by an organization exempt from Federal Income tax under Section 501(c) (3) of the Internal Revenue Code of 1954, or corresponding provision of any future United States Internal Revenue Law, or (b) by an organization, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code of 1954, or corresponding provision of any future United States Internal Revenue Law.

ARTICLE X: DISSOLUTION

Upon dissolution of the Chapter, the officers, after paying or making provisions for the payment of all liabilities of the Chapter, shall dispose of the assets of the Chapter exclusively for the purposes of the Chapter in such manner, or to such organization or organizations that shall be organized and operated exclusively for educational or scientific purposes as shall at the time qualify them as exempt under Section 501(c)(3) of the Internal Revenue Code of 1954, or corresponding provision of any future United States Internal Revenue Law, as the officers shall determine. No part of the net earnings of the organization shall inure to the benefit of any individual.

ARTICLE XI: ADOPTION

This local chapter of the National Weather Association shall be become effective upon approval of the Executive Director, National Weather Association.




Part II as set forth by the Central Oklahoma Chapter of the National Weather Association

ARTICLE I: NAME

This local chapter shall be known as the Central Oklahoma Chapter of the National Weather Association.

ARTICLE II: OFFICERS

  1. Officers of this local chapter are named in Part I, Article III , of this constitution.
  2. The duties of the President are to preside as the chairperson of all local chapter meetings and be responsible for the well-being of the chapter.
  3. The duties of the Vice-President are to assume the duties of chairperson in the absence of the President. The Vice-President is the chairperson of the Program Committee and is responsible for arranging the regular chapter meeting program, meeting time, and meeting place.
  4. The duties of the Secretary-Treasurer are to handle the chapter finances. The Secretary-Treasure collects dues and is responsible for all financial transactions and receipts for expenditures. The Secretary-Treasurer maintains the list of active chapter members.
  5. The duties of the Corresponding Secretary are to take minutes of the meetings of the Executive Committee and the regular chapter meetings. The Corresponding Secretary notifies chapter members of chapter activities, meetings, and elections. The Corresponding Secretary submits news of chapter activities to the National Weather Association.
  6. A vacancy in the office of President shall be filled by the ascension of the Vice-President. A vacancy in the offices of Vice-President, Secretary-Treasurer, and Corresponding Secretary shall be filled by election at the next meeting of the chapter.

ARTICLE III: COMMITTEES

  1. The Executive Committee will select a three member Nominating Committee at least two months before the scheduled yearly elections.
  2. The Executive Committee will select a two member Audit Committee immediately following the scheduled yearly elections.
  3. The President will appoint two or more members to each of the Program, Membership, and Publicity Committees.
  4. Additional committees shall be organized and appointed at the direction of the President.
  5. Committee members shall consist of any active member of the local chapter.

ARTICLE IV: DUES

  1. Annual dues shall be paid to the Central Oklahoma Chapter of the National Weather Association, due at the first meeting in the Fall (September, October, November). Payment of dues entitles the member to active member status.
  2. The amount of annual dues is set by the Executive Committee and approved by the chapter membership as set forth in Part II, Article VI, Section 6 .
  3. Any member failing to pay stated dues by the end of the calendar year will have all membership privileges revoked.
  4. The dues shall be used to carry out the objectives of the Central Oklahoma Chapter of the National Weather Association.

ARTICLE V: MEETINGS

Regular local chapter meetings will be six or more times a year at a time and place selected by the Executive Committee.

ARTICLE VI: ELECTIONS AND VOTING PROCEDURES

  1. The Nominating Committee will nominate one or more active member for each position. These nominations will be published in the notice of the meeting for elections.
  2. Further nominations for any of the officer positions can be taken from the floor. If two or more members are nominated, voting will be by secret ballot.
  3. Election for officers will be conducted during the final regular meeting in the Spring (April, May, June).
  4. Vacant officer positions will be filled as outlined in Part II, Article II.
  5. A quorum is defined as the President or Vice-President and twenty (20) active members. A quorum is necessary for any election or vote on an issue before the chapter.
  6. A simple majority of votes cast is required for the election of officers and for matters other than amending the constitution.
  7. A two-thirds majority of votes cast is required to amend the constitution.

ARTICLE VII: FINANCES

  1. Local chapter funds shall be deposited in a recognized financial institution in a non interest bearing account.
  2. The President and Secretary-Treasurer shall be authorized to withdraw funds to support local chapter activities.
  3. Expenditures of local chapter funds less than One Hundred dollars ($100.00) may be authorized by a majority of the Executive Committee.
  4. Expenditures of local chapter funds of One Hundred dollars ($100.00) or more shall require a vote at a regular chapter meeting.
  5. The Audit committee will conduct a financial audit of the Central Oklahoma Chapter's finances within fifteen (15) days after the officer election in the Spring.

ARTICLE VIII: AMENDMENTS

Amendments to this constitution may be proposed by any active member. Proposed amendments to this constitution shall be discussed and voted upon during a regular meeting of the local chapter. Proposed amendments shall be published in two consecutive announcements of regular meetings of the local chapter prior to meeting for discussion and voting. The proposed amendments shall be read before the assembled chapter members at a regular meeting at least once before the meeting at which discussion and voting on the proposed amendment takes place (Approved on 22 October 1996, amended May 22, 1997, amended 29 October 2002).
