PROPOSED AMENDMENTS TO THE CENTRAL OKLAHOMA CHAPTER OF THE NATIONAL WEATHER ASSOCIATION CONSTITUTION The Executive Committee of the Central Oklahoma Chapter of the National Weather Association proposes the following amendments to the chapter constitution. These proposed amendments are to make the constitution consistent with the Central Oklahoma Chapter of the American Meteorological Society constitution. The COCAMS constitution is being amended to meet the requirements for the COCAMS to be eligible for tax exempt status under section 501(c)3 of the Internal Revenue Code. Replace Article IX with ARTICLE IX: NONPROFIT ORGANIZATION This local chapter of the National Weather Association will organize and operate exclusively as a nonprofit entity, and no portion of its net earnings shall inure to the benefit of, or be distributed to, its members, officers, or other private persons, except that the Chapter may pay reasonable compensation for services rendered in furtherance of its stated purposes. No significant part of the activities of the Chapter shall be the carrying on of propaganda or otherwise attempting to influence legislation; and the Chapter shall not participate or intervene in any political campaign on behalf of any candidate for public office. Notwithstanding any provision of these articles, the Chapter shall not carry on any other activity not permitted to be carried on (a) by an organization exempt from Federal Income tax under Section 501(c) (3) of the Internal Revenue Code of 1954, or corresponding provision of any future United States Internal Revenue Law, or (b) by an organization, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code of 1954, or corresponding provision of any future United States Internal Revenue Law. Replace Article X with ARTICLE X: DISSOLUTION Upon dissolution of the Chapter, the officers, after paying or making provisions for the payment of all liabilities of the Chapter, shall dispose of the assets of the Chapter exclusively for the purposes of the Chapter in such manner, or to such organization or organizations that shall be organized and operated exclusively for educational or scientific purposes as shall at the time qualify them as exempt under Section 501(c)(3) of the Internal Revenue Code of 1954, or corresponding provision of any future United States Internal Revenue Law, as the officers shall determine. No part of the net earnings of the organization shall inure to the benefit of any individual. |
